This Payment Terms & Refund Policy explains the terms governing payments, invoices, billing schedules, subscriptions, refunds, cancellations, project engagements, and other financial aspects of the services provided by Evomad. It has been designed to ensure that both our clients and our organization clearly understand their respective rights, responsibilities, and obligations before, during, and after the delivery of our services.

These Payment Terms apply to all products and services offered by Evomad, including but not limited to:

  • CRM Implementation and Automation
  • Conversion Rate Optimization (CRO)
  • Marketplace Management (Amazon, Flipkart, and other e-commerce platforms)
  • Video Production and Creative Services
  • Public Relations (PR) and Digital PR
  • Photography and Creative Production
  • Business Consulting and Brand Strategy
  • Analytics, Reporting, and Data Solutions
  • Lead Generation Services
  • Website Maintenance and Technical Support
  • Custom marketing, technology, and consulting solutions
  • Any other products or professional services offered by Evomad from time to time.

These Payment Terms apply regardless of whether services are purchased through our official website, quotations, proposals, contracts, service agreements, subscription plans, invoices, email communications, online payment portals, partner platforms, or any other authorized sales channel operated by Evomad.

Our services are offered under one or more of the following commercial engagement models:

  • Gig-Based Services – One-time, fixed-scope services with predefined deliverables and pricing.
  • Project-Based Services – Customized engagements with defined scope, milestones, timelines, and payment schedules.
  • Monthly Subscription Services – Ongoing retainers and recurring service plans billed periodically for continuous support and execution.

By requesting a quotation, accepting a proposal, signing a contract, placing an order, making a payment, paying an invoice, subscribing to any recurring service, or otherwise engaging Evomad to provide products or services, you acknowledge that you have read, understood, and agree to be legally bound by this Payment Terms & Refund Policy, together with any applicable Service Agreement, Statement of Work (SOW), Proposal, Quotation, Master Service Agreement (MSA), or other contractual documents executed between you and Evomad.

If you do not agree with any provision of these Payment Terms & Refund Policy, you should refrain from purchasing or using our services. Your continued engagement with Evomad after accepting a proposal, making a payment, or using our services constitutes your acceptance of these terms, including any future updates published in accordance with this policy.

Nothing in these Payment Terms & Refund Policy limits any rights or obligations that may arise under a separately executed written agreement between you and Evomad. In the event of any inconsistency, the terms of the applicable written agreement shall prevail to the extent of such inconsistency, unless otherwise expressly stated.

Business Models

Evomad offers its products and services through multiple commercial engagement models to accommodate the diverse requirements of startups, small and medium-sized businesses (SMBs), enterprises, entrepreneurs, and organizations worldwide. Each engagement model is designed to provide flexibility, transparency, and predictable pricing based on the nature, complexity, duration, and scope of the services requested.

Depending on the services selected and the agreed commercial arrangement, clients may engage Evomad under one of the following business models.

A. Gig-Based Services

Gig-Based Services are one-time, fixed-price engagements designed for clients who require specific tasks or predefined deliverables without committing to a long-term project or ongoing service agreement.

These services typically have a clearly defined scope, fixed pricing, estimated delivery timeline, and a limited number of revisions as specified in the applicable proposal, service package, quotation, or product listing.

Examples of Gig-Based Services include, but are not limited to:

  • Logo and brand identity design
  • Social media creatives and graphics
  • Website bug fixes and technical support
  • Landing page design and development
  • SEO audits and website audits
  • AI consultation sessions
  • Content writing and copywriting
  • Graphic design services
  • Video editing and motion graphics
  • Email marketing setup
  • Google Analytics or Tag Manager configuration
  • Marketing strategy consultations
  • Marketplace listing optimization
  • Other predefined digital marketing or creative services

Gig-Based Services are considered complete once the agreed deliverables have been provided in accordance with the approved scope. Any requests beyond the original scope may require a separate quotation and additional charges.

B. Project-Based Services

Project-Based Services are customized engagements created for clients requiring comprehensive solutions with clearly defined objectives, deliverables, milestones, timelines, and implementation phases.

Every project is planned according to the client’s business requirements and is governed by the applicable proposal, quotation, Statement of Work (SOW), Master Service Agreement (MSA), contract, or other written agreement executed between the parties.

Project-Based Services may include, but are not limited to:

  • Website design and development
  • E-commerce website development
  • Mobile application development
  • Branding and corporate identity projects
  • Search Engine Optimization (SEO) campaigns
  • Local SEO and AI Search Optimization
  • Performance marketing campaigns
  • Digital transformation projects
  • CRM implementation and automation
  • AI automation and workflow development
  • Marketing strategy and business consulting
  • Marketplace management
  • Conversion Rate Optimization (CRO)
  • Public Relations (PR) and Digital PR
  • Custom software development
  • Integrated digital marketing campaigns
  • Other bespoke marketing, technology, or consulting engagements

Project-Based Services generally involve milestone-based execution, periodic client approvals, scheduled reviews, and phased payments. Any modifications to the agreed scope, features, deliverables, timelines, or technical requirements may be treated as a Change Request and may require revised pricing, additional timelines, or a separate written agreement.

C. Monthly Subscription Services

Monthly Subscription Services are recurring service plans designed for businesses requiring continuous strategic guidance, implementation, optimization, monitoring, maintenance, or ongoing marketing support.

Under this engagement model, Evomad allocates dedicated resources, expertise, tools, and execution capacity on a recurring basis. Subscription services are typically billed monthly in advance unless otherwise agreed in writing.

  • AI Search Optimization and LLM Optimization
  • Social Media Marketing
  • Performance Marketing
  • Google Ads Management
  • Meta Ads Management

  • Content Marketing
  • Email Marketing
  • WhatsApp Marketing
  • SMS Marketing
  • Lead Generation
  • Marketing Automation
  • AI Marketing and Automation
  • Website maintenance and support
  • Marketplace management
  • Conversion Rate Optimization (CRO)
  • Analytics and reporting
  • Online Reputation Management (ORM)
  • Brand strategy consulting
  • CRM management
  • Technical support and ongoing digital consulting
  • Other recurring marketing, technology, and consulting services

Monthly subscriptions continue on a recurring billing cycle until cancelled in accordance with the cancellation terms specified in this Payment Terms & Refund Policy or any applicable service agreement. The exact scope of services, monthly deliverables, response times, resource allocation, service limits, and billing frequency will be specified in the applicable subscription plan, proposal, quotation, or contract.

Selection of Engagement Model

The applicable business model for your engagement will be identified in your quotation, proposal, invoice, purchase order, subscription plan, Statement of Work (SOW), service agreement, or other written documentation issued by Evomad.

Unless otherwise agreed in writing, the payment terms, refund eligibility, cancellation conditions, billing schedules, and service obligations applicable to your engagement shall be determined based on the specific business model under which the services are purchased.

Accepted Payment Methods

Evomad offers multiple secure and convenient payment options to facilitate smooth transactions for clients located in India and across the world. Unless otherwise agreed in writing, all invoices issued by Evomad must be paid using one of our approved payment methods.

Payments may be made through the following channels:

  • Bank Transfer (NEFT, RTGS, IMPS, or direct bank deposit)
  • UPI (Unified Payments Interface)
  • Credit Cards
  • Debit Cards
  • Online Payment Gateways
  • PayPal
  • Stripe
  • International Wire Transfers (SWIFT)
  • Other payment methods expressly approved in writing by Evomad.

Payment instructions, banking details, and payment links will be provided on the applicable invoice, quotation, subscription agreement, proposal, or through other official communication channels authorized by Evomad.

Payment Currency

Unless otherwise agreed in writing, all prices, quotations, invoices, subscriptions, and service fees are quoted and payable in Indian Rupees (INR).

For international clients, Evomad may, at its sole discretion, issue invoices in other currencies such as United States Dollars (USD), Euro (EUR), British Pound Sterling (GBP), United Arab Emirates Dirham (AED), or other mutually agreed currencies. Where payments are made in a foreign currency, the applicable exchange rate, banking charges, payment gateway fees, intermediary bank fees, currency conversion charges, and any other related costs shall be the responsibility of the client unless expressly agreed otherwise in writing.

Evomad shall not be responsible for any losses arising from exchange rate fluctuations, currency conversion fees, or charges imposed by financial institutions or payment service providers.

Taxes

All prices are exclusive of applicable taxes unless expressly stated otherwise.

Where required under applicable laws, Goods and Services Tax (GST) and any other applicable taxes, duties, levies, or government charges shall be added to the invoice and are payable by the client. Clients are responsible for ensuring compliance with the tax laws applicable in their respective jurisdictions.

For international transactions, clients are solely responsible for any withholding taxes, customs duties, import taxes, banking charges, or other local taxes imposed by their country, unless otherwise required by applicable law.

Payment Confirmation

Services will generally commence only after the applicable payment has been successfully received, verified, and credited to Evomad’s designated account, unless a separate written credit arrangement or payment schedule has been agreed upon.

Evomad reserves the right to request proof of payment where necessary and may delay the commencement, continuation, or delivery of services until payment verification has been completed.

Payment Security

To help protect both parties, clients should make payments only through payment links, bank accounts, gateways, or financial channels officially authorized by Evomad. Evomad shall not be responsible for payments made to unauthorized accounts or third parties claiming to represent the company without proper authorization.

Failed or Rejected Payments

If a payment is declined, reversed, rejected, cancelled, disputed, or otherwise fails for any reason, Evomad reserves the right to:

  • Suspend or delay the commencement of services until payment is successfully received.
  • Pause ongoing projects, campaigns, subscriptions, or support services.
  • Request an alternative payment method.
  • Recover any outstanding balances, payment gateway charges, banking fees, or other costs incurred due to the failed transaction, where permitted by applicable law.
  • Cancel the applicable order, subscription, or service engagement if payment is not received within the agreed payment period.

Clients are responsible for ensuring that sufficient funds, valid payment credentials, and accurate payment information are available at the time of payment.

Payment Records

Clients are encouraged to retain payment receipts, transaction references, and invoice copies for their records. In the event of any payment discrepancy, both parties agree to cooperate in verifying payment details using bank records, payment gateway confirmations, transaction IDs, or other relevant documentation.

Gig-Based Services

Gig-Based Services are one-time, fixed-price engagements designed for clients who require specific tasks, predefined deliverables, or standalone professional services without entering into a long-term contract or recurring subscription. These services are suitable for businesses and individuals seeking quick, clearly defined solutions with transparent pricing, a limited scope of work, and predetermined delivery timelines.

Each Gig-Based Service includes a clearly defined scope, deliverables, pricing, estimated turnaround time, and revision limits, which will be specified in the applicable quotation, proposal, service package, invoice, marketplace listing, or order confirmation issued by Evomad.

Gig-Based Services may include, but are not limited to:

  • Logo Design
  • Brand Identity Design
  • Social Media Creatives
  • Graphic Design
  • SEO Audit
  • Technical SEO Audit
  • Local SEO Audit
  • Website Bug Fixes
  • Landing Page Design and Development
  • AI Consultation
  • Marketing Consultation
  • Content Writing and Copywriting
  • Blog Writing
  • Video Editing
  • Motion Graphics
  • Email Marketing Setup
  • Google Analytics and Tag Manager Setup
  • Google Business Profile Optimization
  • Marketplace Listing Optimization
  • Marketing Campaign Setup
  • Basic Website Design
  • Creative Design Services
  • Other one-time marketing, branding, design, technology, or consulting services offered by Evomad.

The exact deliverables, turnaround time, revision limits, and technical specifications for each Gig-Based Service shall be described in the relevant proposal, quotation, order confirmation, or service package.

Payment Terms

Unless otherwise agreed in writing, 100% advance payment is required before Evomad commences any Gig-Based Service.

Payment confirms the client’s acceptance of the agreed scope of work, pricing, delivery timelines, and these Payment Terms.

Work will commence only after:

  • Full payment has been successfully received and verified.
  • The client has provided all required information, content, branding materials, access credentials, approvals, and other resources necessary to perform the service.
  • Any required onboarding or consultation has been completed, where applicable.

The estimated delivery timeline begins only after both payment confirmation and receipt of all required client information. Any delay in providing requested materials, approvals, feedback, or access may automatically extend the delivery schedule without constituting a breach by Evomad.

Evomad reserves the right to postpone or suspend work until all outstanding payments and required project materials have been received.

Scope of Work

Each Gig-Based Service is limited to the scope expressly described in the quotation, proposal, service package, invoice, or order confirmation.

Any request that falls outside the agreed scope—including additional design concepts, new features, expanded functionality, extra pages, new deliverables, strategic consulting, or additional implementation work—shall be treated as a separate service or Change Request and may require additional charges, revised timelines, or a new agreement.

Client Responsibilities

To enable timely completion of Gig-Based Services, clients are responsible for:

  • Providing complete and accurate project requirements.
  • Supplying branding assets, logos, images, content, and other requested materials.
  • Providing required website, hosting, advertising platform, or software access credentials.
  • Reviewing deliverables promptly.
  • Providing feedback and approvals within a reasonable timeframe.
  • Responding to requests for clarification or additional information during the engagement.

Evomad shall not be responsible for delays resulting from incomplete information, delayed approvals, inaccurate instructions, or failure by the client to cooperate during the project.

Revisions

Unless otherwise specified in the applicable proposal or service package, each Gig-Based Service includes only the number of revisions expressly mentioned in the corresponding quotation, proposal, invoice, or package description.

A revision refers to reasonable modifications to the originally approved concept or agreed deliverable and does not include redesigning the project, changing project objectives, or introducing entirely new requirements.

The following may be considered outside the scope of included revisions:

  • Requests for additional concepts after initial approval.
  • Major design or layout changes.
  • Significant content rewrites.
  • New functionality or technical requirements.
  • Additional pages, graphics, animations, or features.
  • Requests made after final approval or delivery.
  • Work resulting from changes in business strategy or branding direction.

Any revisions or modifications beyond the agreed revision limit or original scope may be billed separately at Evomad’s prevailing rates and may require additional delivery time.

Delivery

Gig-Based Services are considered delivered when the agreed files, reports, documents, designs, source materials (where applicable), consultation summaries, code, or other deliverables have been shared through email, cloud storage, project management software, client portal, or another mutually agreed delivery method.

Clients are responsible for reviewing delivered work promptly and communicating any revision requests within the timeframe specified in the proposal or service package, if applicable.

Refund Policy

Due to the customized and digital nature of Gig-Based Services, refunds are limited and are granted only in specific circumstances.

A refund may be considered only where:

  • Work has not yet commenced.
  • Evomad determines that it is unable to deliver the agreed service for reasons solely attributable to Evomad.
  • A refund is otherwise required under applicable law.

Where a refund is approved before work begins, Evomad may deduct any applicable payment gateway charges, banking fees, taxes, currency conversion charges, or administrative costs incurred in processing the original payment and refund, where permitted by law.

Non-Refundable Circumstances

Except where required by applicable law, no refund shall be issued under any of the following circumstances:

  • Work has commenced on the project.
  • Project planning, research, consultation, strategy development, or design work has begun.
  • Files, reports, documents, creatives, source files, code, consultation deliverables, AI outputs, or other digital assets have been delivered or shared.
  • The client changes their mind after placing the order.
  • The client no longer requires the service.
  • The client fails to provide required information, content, approvals, or access credentials.
  • Project delays occur due to the client’s actions or inaction.
  • The client requests cancellation after work has substantially progressed.
  • The client refuses to review or approve completed deliverables.
  • The client becomes unresponsive after project commencement.
  • The service has been completed substantially in accordance with the agreed scope.
Cancellation

Clients may request cancellation of a Gig-Based Service before work begins by contacting Evomad. Once work has commenced, cancellation requests will be reviewed on a case-by-case basis. Approval of a cancellation request does not automatically entitle the client to a refund.

Evomad also reserves the right to cancel or decline a Gig-Based Service if the client provides unlawful instructions, abusive communications, fraudulent payment methods, misleading information, or otherwise breaches these Payment Terms or any applicable agreement. In such cases, refunds shall be governed by this policy and applicable law.

Project-Based Services

Advertising Budgets

Evomad provides strategic planning, campaign setup, account management, optimization, monitoring, reporting, and consulting services for paid advertising campaigns across a variety of digital advertising platforms. Unless otherwise agreed in writing, advertising budgets are separate from Evomad’s professional service fees and are billed independently.

Advertising campaigns may be managed on platforms including, but not limited to:

  • Google Ads
  • Meta Ads (Facebook, Instagram, Messenger)
  • LinkedIn Ads
  • YouTube Ads
  • Amazon Ads
  • Flipkart Ads
  • Microsoft Advertising (Bing Ads)
  • X (formerly Twitter) Ads
  • Pinterest Ads
  • Snapchat Ads
  • Reddit Ads
  • Quora Ads
  • Programmatic advertising platforms
  • Other digital advertising platforms approved by the client.
Advertising Budget

The advertising budget refers exclusively to the amount allocated for media spend on third-party advertising platforms. This budget is used by the advertising platform to display advertisements and is separate from Evomad’s management, consulting, creative, or optimization fees.

Depending on the agreed engagement model, advertising budgets may:

  • Be paid directly by the client to the advertising platform.
  • Be paid to Evomad for onward payment to the advertising platform.
  • Be funded through a client-owned advertising account.
  • Be funded through another mutually agreed payment arrangement.

Advertising platforms determine how the advertising budget is spent according to their own bidding systems, auction mechanisms, delivery algorithms, policies, and terms of service.

Account Management Fee

In consideration of campaign planning, setup, optimization, monitoring, reporting, and ongoing management, Evomad charges an Account Management Fee equal to 10% (ten percent) of the monthly advertising budget, unless otherwise agreed in writing.

The Account Management Fee covers professional services including, where applicable:

  • Campaign strategy and planning.
  • Audience research and targeting.
  • Keyword research.
  • Campaign setup and configuration.
  • Conversion tracking implementation.
  • Pixel and analytics integration.
  • Bid management.
  • Budget allocation and optimization.
  • Ad copy creation and optimization.
  • Creative coordination.
  • Performance monitoring.
  • Campaign optimization.
  • A/B testing recommendations.
  • Performance reporting.
  • Regular account reviews.
  • Strategic recommendations and consultation.

The Account Management Fee is a professional service fee and is separate from the advertising budget paid to advertising platforms.

Unless otherwise specified in the applicable proposal, quotation, or service agreement:

  • The minimum Account Management Fee shall be determined by the commercial proposal where applicable.
  • The fee is calculated based on the agreed monthly advertising budget rather than actual platform spend, unless expressly agreed otherwise.
  • Changes to the monthly advertising budget may result in a corresponding adjustment to the Account Management Fee.
Client Responsibility for Advertising Spend

Clients remain solely responsible for determining the size of their advertising budget and authorizing any increases or decreases in advertising expenditure.

Evomad may provide recommendations regarding campaign budgets based on industry experience and available data; however, the final decision regarding advertising expenditure always remains with the client.

Non-Refundable Advertising Spend

Advertising budgets paid to third-party advertising platforms are non-refundable once they have been credited, allocated, spent, or otherwise processed by the respective platform.

Accordingly, except where required by applicable law, no refunds shall be available for:

  • Google Ads media spend.
  • Meta Ads media spend.
  • LinkedIn Ads media spend.
  • Amazon Ads budgets.
  • Flipkart Ads budgets.
  • YouTube advertising spend.
  • Microsoft Advertising budgets.
  • Any other advertising platform charges.
  • Platform verification fees.
  • Campaign activation fees.
  • Click costs, impressions, conversions, or other advertising expenses charged by third-party platforms.

Advertising platforms maintain independent billing systems and refund policies. Evomad has no authority to reverse, recover, or guarantee refunds for advertising spend once funds have been processed by the respective platform.

Non-Refundable Account Management Fee

Evomad’s Account Management Fee compensates the company for professional services rendered in planning, managing, monitoring, optimizing, and reporting on advertising campaigns.

Accordingly, once campaign work has commenced, the Account Management Fee is earned and non-refundable, irrespective of:

  • Campaign performance.
  • Number of leads generated.
  • Sales outcomes.
  • Return on Ad Spend (ROAS).
  • Return on Investment (ROI).
  • Advertising platform policy changes.
  • Client decisions to pause or discontinue campaigns.
  • Account suspensions imposed by advertising platforms.
  • Changes in market conditions or consumer demand.
Advertising Platform Policies

Clients acknowledge that all advertising platforms operate independently and maintain their own:

  • Advertising policies.
  • Billing procedures.
  • Approval processes.
  • Content guidelines.
  • Account verification requirements.
  • Suspension and termination policies.
  • Refund policies.
  • Auction systems.
  • Delivery algorithms.

Evomad cannot guarantee that advertisements will be approved, continuously displayed, achieve specific reach, generate conversions, or remain active throughout the campaign duration.

Evomad shall not be liable for any campaign interruptions, ad disapprovals, account suspensions, policy violations, or restrictions imposed by third-party advertising platforms.

Refunds from Advertising Platforms

If an advertising platform independently approves a refund, credit, promotional balance, or billing adjustment, such refund shall be governed solely by that platform’s terms and policies.

Evomad does not guarantee that any advertising platform will approve a refund request and shall not be responsible for refund decisions, payment reversals, billing disputes, or account credits issued or denied by third-party providers.

Campaign Performance

While Evomad applies commercially reasonable skill, industry best practices, and continuous optimization to improve campaign performance, advertising outcomes are influenced by numerous external factors beyond Evomad’s control, including market competition, bidding dynamics, customer behavior, advertising policies, platform algorithms, website quality, pricing, seasonality, and product-market fit.

Accordingly, Evomad does not guarantee specific impressions, clicks, leads, conversions, sales, revenue, ROAS, ROI, or other measurable business outcomes from any advertising campaign.

Third-Party Costs

In the course of providing digital marketing, branding, website development, AI automation, software implementation, and related professional services, Evomad may recommend, procure, configure, purchase, or facilitate access to third-party products, services, software, platforms, subscriptions, or digital assets on behalf of a client.

These third-party products and services are supplied by independent vendors and are governed by their respective terms, conditions, pricing, refund policies, licensing agreements, and service levels. Evomad acts solely as a facilitator or implementation partner where applicable and does not own, control, or operate these third-party services.

Third-party costs may include, but are not limited to:

  • Domain name registrations and renewals
  • Web hosting services
  • Virtual Private Servers (VPS)
  • Dedicated servers
  • Cloud hosting infrastructure
  • SSL/TLS certificates
  • Email hosting services
  • Software licenses
  • SaaS subscriptions
  • CRM subscriptions
  • Marketing automation platforms
  • Premium plugins and extensions
  • Website themes and templates
  • APIs and API usage fees
  • Artificial Intelligence (AI) platforms and AI tool subscriptions
  • Stock images
  • Stock videos
  • Audio libraries
  • Premium illustrations and design assets
  • Premium fonts and typography licenses
  • Website builders and no-code platforms
  • Analytics and reporting tools
  • CDN services
  • Security software
  • Backup solutions
  • Cloud storage services
  • Payment gateway setup fees
  • Third-party integrations
  • Marketplace seller tools
  • Developer accounts
  • Mobile application publishing fees
  • Google Workspace, Microsoft 365, or similar productivity platforms
  • Any other third-party products or services purchased specifically for the client’s project.
Client Approval

Unless otherwise agreed in writing, Evomad will obtain the client’s approval before purchasing or subscribing to significant third-party products or services that require payment.

Clients acknowledge that certain projects cannot commence or be completed without the purchase of specific third-party products, subscriptions, licenses, or infrastructure necessary for successful implementation.

Payment Responsibility

Clients are solely responsible for all approved third-party costs associated with their project or subscription, including:

  • Initial purchase costs.
  • Renewal fees.
  • Subscription charges.
  • Usage-based fees.
  • Taxes.
  • Currency conversion charges.
  • Banking fees.
  • Payment gateway charges.
  • Any other applicable costs imposed by the third-party provider.

Where Evomad makes such purchases on behalf of the client, the client agrees to reimburse Evomad for the full amount of those costs in accordance with the applicable invoice or agreement.

Non-Refundable Purchases

Because third-party products and services are purchased from independent vendors and are often activated immediately, customized, licensed, or non-reversible, all payments made toward approved third-party products or services are non-refundable once the purchase, registration, activation, renewal, or subscription has been completed.

Accordingly, except where required by applicable law, no refunds shall be provided for payments relating to:

  • Domain registrations or renewals.
  • Hosting plans.
  • SSL certificate purchases or renewals.
  • Software licenses.
  • Premium plugins or extensions.
  • Premium themes or templates.
  • API subscriptions or usage credits.
  • AI software subscriptions.
  • Cloud infrastructure or cloud storage services.
  • Stock media purchases.
  • Font licenses.
  • SaaS subscriptions.
  • Email hosting.
  • Third-party setup fees.
  • Advertising platform verification fees.
  • Marketplace subscriptions.
  • Any other third-party digital products or services purchased on behalf of the client.

This applies regardless of whether the client subsequently chooses not to use the purchased product or terminates the engagement with Evomad.

Third-Party Licensing and Ownership

Ownership of all third-party software, domains, cloud services, digital assets, AI tools, plugins, themes, stock media, fonts, APIs, and licensed materials remains with their respective owners, licensors, or service providers.

Clients receive only those rights, licenses, or permissions granted under the applicable third-party licensing agreement.

Nothing in these Payment Terms shall be interpreted as transferring ownership of any third-party intellectual property to either Evomad or the client beyond the rights expressly granted by the relevant provider.

Clients are responsible for complying with all applicable third-party license agreements, acceptable use policies, subscription terms, and other contractual requirements imposed by the respective providers.

Service Availability

Evomad does not guarantee the continued availability, pricing, functionality, compatibility, security, or performance of any third-party product or service.

Third-party providers may, at any time and without notice:

  • Modify their pricing.
  • Discontinue products or features.
  • Change licensing terms.
  • Restrict access.
  • Suspend or terminate accounts.
  • Update technical requirements.
  • Introduce new usage limitations.
  • Change APIs or platform functionality.

Evomad shall not be liable for any delays, losses, interruptions, incompatibilities, or damages arising from the actions, omissions, failures, policy changes, or technical issues of third-party providers.

Renewals and Ongoing Subscriptions

Unless expressly agreed otherwise, clients are responsible for monitoring and renewing domains, hosting services, SSL certificates, software subscriptions, cloud services, APIs, AI platforms, and other recurring third-party products before their expiration dates.

Where Evomad manages renewals on behalf of a client, renewal invoices must be paid before the applicable due date. Failure to make timely payment may result in suspension, expiration, deletion, or loss of the relevant third-party service, for which Evomad shall not be responsible.

No Warranty

Evomad makes no representations or warranties regarding the quality, reliability, security, availability, merchantability, fitness for a particular purpose, or continued operation of any third-party product or service.

Any warranties, guarantees, support obligations, or service commitments relating to third-party products are provided solely by the respective vendor, and clients should refer directly to the applicable provider for support, warranty claims, or refund requests where available.

Client Responsibilities

The successful delivery of Evomad’s services depends on timely collaboration, clear communication, and the active participation of our clients. Clients acknowledge that the quality, efficiency, and timely completion of services are directly influenced by their cooperation throughout the engagement.

By engaging Evomad, clients agree to fulfill the following responsibilities during the course of any gig-based, project-based, or monthly subscription engagement.

Timely Provision of Information and Content

Clients are responsible for providing all information, documents, content, branding assets, images, videos, logos, product details, technical specifications, access credentials, approvals, and any other materials reasonably required for Evomad to perform the agreed services.

Clients warrant that all information provided is accurate, complete, lawful, and does not infringe upon the intellectual property or other legal rights of any third party.

Accurate Business Information

Clients agree to provide accurate and up-to-date business information, including but not limited to:

  • Business name and contact details.
  • Products and services offered.
  • Pricing information.
  • Brand guidelines.
  • Marketing objectives.
  • Target audience.
  • Technical requirements.
  • Website credentials.
  • Advertising account access.
  • Social media account access.
  • Marketplace account access.
  • CRM or software credentials, where applicable.

Evomad shall not be responsible for any errors, delays, losses, or performance issues arising from inaccurate, incomplete, outdated, or misleading information supplied by the client.

Timely Approvals and Feedback

Clients agree to review all deliverables, concepts, strategies, reports, designs, advertisements, websites, content, or other work submitted by Evomad within a reasonable timeframe and provide clear feedback, approvals, or requested revisions promptly.

Failure to provide timely responses may result in project delays, rescheduling of allocated resources, or adjustments to the agreed delivery schedule.

Where no response is received within a reasonable period, Evomad reserves the right to assume that the deliverable has been accepted for the purpose of continuing the project, unless otherwise agreed in writing.

Timely Payment of Invoices

Clients agree to pay all invoices, subscription fees, milestone payments, advertising budgets, reimbursable expenses, taxes, and any other agreed charges on or before their respective due dates.

Late or unpaid invoices may result in:

  • Suspension of services.
  • Delay in project execution.
  • Temporary suspension of campaigns.
  • Restricted access to deliverables.
  • Postponement of future milestones.
  • Additional late payment charges where permitted by applicable law.
Cooperation During Project Execution

Clients agree to cooperate with Evomad throughout the engagement by:

  • Participating in scheduled meetings, consultations, and review sessions where required.
  • Responding to reasonable requests for clarification.
  • Providing timely approvals and implementation decisions.
  • Granting necessary system, website, advertising platform, hosting, CRM, or software access.
  • Assisting with testing, validation, and deployment where applicable.
  • Informing Evomad of any material business changes that may affect the project.

Successful completion of many services requires ongoing collaboration between both parties.

Compliance with Applicable Laws

Clients are solely responsible for ensuring that their business activities, products, services, advertising claims, content, promotions, and marketing campaigns comply with all applicable laws, regulations, industry standards, platform policies, and intellectual property rights.

Evomad reserves the right to refuse, suspend, or terminate services that involve unlawful, misleading, fraudulent, defamatory, infringing, or otherwise prohibited content or activities.

Third-Party Accounts and Access

Where services require access to third-party platforms such as Google Ads, Meta Ads, LinkedIn, Amazon, Flipkart, Shopify, WordPress, hosting providers, CRMs, payment gateways, analytics platforms, AI tools, or other online services, clients are responsible for:

  • Providing valid login credentials or appropriate user access.
  • Maintaining ownership and security of their accounts.
  • Ensuring all required subscriptions, licenses, and third-party fees remain active.
  • Granting sufficient permissions necessary for Evomad to perform the agreed services.

Evomad shall not be liable for delays caused by missing permissions, expired subscriptions, account restrictions, or failures of third-party platforms.

Project Delays Caused by the Client

Clients acknowledge that delays in providing information, approvals, content, payments, account access, technical resources, or other required materials may directly impact project schedules.

Accordingly:

  • Delivery timelines shall automatically be extended by the duration of the client-caused delay.
  • Evomad shall not be responsible for missed deadlines resulting from the client’s failure to fulfill their responsibilities.
  • Resource availability may change if a project remains inactive for an extended period due to client delays.
  • Revised delivery schedules, milestone dates, or commercial terms may be required if prolonged delays materially affect project planning.
Client Responsibility for Final Review

Although Evomad makes commercially reasonable efforts to maintain quality and accuracy, clients remain responsible for reviewing and approving all final deliverables before publication, launch, deployment, printing, advertising, or public release.

This includes, but is not limited to:

  • Content accuracy.
  • Pricing.
  • Product information.
  • Legal disclaimers.
  • Contact information.
  • Branding elements.
  • Website functionality.
  • Advertising copy.
  • Creative assets.
  • Technical configurations.

Once approved by the client, Evomad shall not be responsible for errors that were reasonably discoverable during the client’s review process.

Mutual Collaboration

Evomad is committed to delivering professional services using commercially reasonable skill, care, and industry best practices. Clients acknowledge that successful marketing, branding, technology, and consulting engagements require active collaboration, timely communication, and shared responsibility between both parties. By fulfilling the responsibilities outlined in this section, clients help ensure efficient project execution, timely delivery, and the best possible outcomes from the services provided by Evomad.

Intellectual Property

Evomad respects and protects intellectual property rights and is committed to ensuring that ownership of creative works, software, digital assets, marketing materials, and other deliverables is transferred in a clear and legally transparent manner.

Unless otherwise expressly agreed in writing through a separate agreement, Statement of Work (SOW), Master Service Agreement (MSA), licensing agreement, or contract, all intellectual property rights in any work created by Evomad shall remain the exclusive property of Evomad until the client has paid all applicable invoices, fees, taxes, expenses, and any other amounts due in full.

Ownership Prior to Full Payment

Until full and final payment has been successfully received and cleared, all rights, title, and interest in the following materials shall remain the sole and exclusive property of Evomad:

  • Logos and brand identity concepts
  • Graphic designs and creative assets
  • Website designs and user interface (UI) designs
  • Website source code and application source code
  • Mobile application code
  • Landing pages
  • Marketing campaigns and advertising creatives
  • SEO strategies, keyword research, and optimization plans
  • AI prompts, AI workflows, AI automation systems, and custom AI solutions
  • Marketing strategies and consulting documents
  • Content, copywriting, blogs, and editorial materials
  • Videos, animations, motion graphics, and multimedia content
  • Photography, illustrations, and visual assets
  • Reports, audits, analytics, dashboards, and performance documents
  • Technical documentation and process documentation
  • Wireframes, prototypes, mockups, and design files
  • Source files, editable files, project files, repositories, scripts, databases, templates, and other work products created by Evomad
  • Any other intellectual property, digital assets, documentation, or materials developed during the engagement.

During this period, the client receives only a limited, revocable, non-exclusive right to review draft deliverables solely for evaluation and approval purposes. Such review does not constitute ownership or transfer of any intellectual property rights.

Transfer of Ownership

Subject to the terms of the applicable agreement, ownership of the final approved deliverables shall transfer to the client only after:

  • Full payment of all invoices and applicable taxes has been received.
  • All outstanding balances, late payment charges, reimbursable expenses, and other agreed amounts have been settled.
  • Any contractual obligations relating to payment have been fulfilled.

Upon completion of these requirements, the client shall receive ownership or an appropriate license to use the final deliverables, as specified in the applicable proposal, quotation, contract, or service agreement.

Rights Retained by Evomad

Unless expressly assigned in writing, Evomad retains all ownership and intellectual property rights relating to:

  • Proprietary methodologies, frameworks, and business processes.
  • Internal templates, tools, software libraries, reusable code, APIs, and automation systems.
  • Artificial intelligence models, prompts, prompt libraries, workflows, and reusable automation frameworks.
  • Standard operating procedures, research methods, and optimization techniques.
  • Proprietary scripts, utilities, integrations, algorithms, and technical know-how.
  • Pre-existing intellectual property owned or licensed by Evomad before the commencement of the engagement.
  • General knowledge, experience, skills, concepts, and techniques developed during the course of providing services.

Nothing in these Payment Terms shall be interpreted as transferring ownership of Evomad’s proprietary technology, trade secrets, confidential methodologies, or reusable intellectual property unless expressly agreed in writing.

Third-Party Intellectual Property

Certain projects may include third-party software, stock photography, fonts, plugins, themes, APIs, cloud services, AI platforms, licensed content, or other materials that are owned by third parties.

Ownership of such third-party materials remains with their respective licensors and is governed by their individual license agreements and terms of use. Evomad cannot assign ownership of third-party intellectual property that it does not own.

Clients are responsible for complying with all applicable third-party licensing requirements associated with the use of these materials.

Restrictions Prior to Ownership Transfer

Until ownership has been validly transferred following full payment, clients shall not, without Evomad’s prior written consent:

  • Use any draft or final deliverables for commercial purposes.
  • Publish, reproduce, distribute, or display the work publicly.
  • Modify, reverse engineer, or create derivative works from unfinished deliverables.
  • Transfer, sublicense, sell, or assign any materials created by Evomad.
  • Remove copyright notices, branding, watermarks, or ownership identifiers.
  • Claim ownership of work that has not yet been fully paid for.

Any unauthorized use of Evomad’s intellectual property may constitute copyright infringement or breach of contract and may result in legal action.

Portfolio and Promotional Rights

Unless otherwise agreed in writing or where restricted by confidentiality obligations, Evomad reserves the right to display completed work, project summaries, designs, websites, marketing campaigns, branding materials, and other publicly available deliverables in its portfolio, website, social media channels, marketing materials, award submissions, case studies, presentations, and promotional content for the purpose of demonstrating its capabilities and professional experience.

Where a project contains confidential, proprietary, or non-public information, Evomad will respect any applicable confidentiality obligations and will not disclose protected information without the client’s prior written consent.

Client-Owned Materials

The client retains ownership of all trademarks, logos, business names, copyrighted materials, content, databases, confidential information, and other intellectual property supplied to Evomad for use during the engagement.

By providing such materials, the client represents and warrants that they possess all necessary rights, permissions, licenses, and authority to authorize Evomad to use those materials solely for the purpose of performing the agreed services. The client agrees to indemnify Evomad against any claims arising from the unauthorized use of materials provided by the client.

Reservation of Rights

Any intellectual property rights not expressly transferred or licensed to the client under a written agreement are reserved exclusively by Evomad. No implied license, assignment, waiver, or transfer of ownership shall arise solely from the delivery of work, issuance of an invoice, partial payment, or ongoing business relationship.

Performance Disclaimer

Evomad is committed to delivering high-quality digital marketing, branding, technology, AI, consulting, and creative services with professionalism, transparency, and industry best practices. While we apply our expertise, experience, strategic planning, and commercially reasonable efforts to achieve the objectives agreed upon with our clients, the nature of digital marketing and online business means that outcomes cannot be guaranteed.

The performance of marketing campaigns, websites, search engine optimization (SEO), paid advertising, social media marketing, content marketing, lead generation, AI automation, email marketing, marketplace management, public relations, or any other service provided by Evomad is influenced by numerous external factors that are beyond our reasonable control.

These factors may include, but are not limited to:

  • Market competition and competitor activities.
  • Changes to search engine algorithms or indexing policies.
  • Advertising platform policies, bidding systems, quality scores, and account restrictions.
  • Social media platform algorithms, content distribution, and engagement trends.
  • Customer demand, purchasing behavior, and consumer preferences.
  • Industry trends, seasonality, economic conditions, and market fluctuations.
  • Website performance, user experience, technical issues, hosting reliability, and page speed.

  • Client-provided content, approvals, assets, and implementation timelines.
  • Government regulations, legal restrictions, privacy laws, or changes in applicable policies.
  • Technical failures or limitations involving third-party software, cloud providers, APIs, AI tools, marketplaces, payment gateways, or external service providers.

Accordingly, Evomad does not guarantee or warrant any specific business, marketing, financial, or commercial outcome arising from the use of our services. This includes, but is not limited to, guarantees of:

  • Specific search engine rankings or first-page placement on Google, Bing, or other search engines.
  • A fixed number of leads, enquiries, appointments, or qualified prospects.
  • Sales, conversions, customers, or revenue targets.
  • Return on investment (ROI), return on ad spend (ROAS), profitability, or business growth.
  • Website traffic, impressions, clicks, engagement rates, or social media followers.
  • Viral content, viral reach, influencer success, or widespread audience engagement.
  • Approval by advertising platforms, social media platforms, search engines, marketplaces, or third-party service providers.
  • Continuous availability or uninterrupted operation of third-party platforms or digital services.
  • Any specific timeframe within which measurable marketing or business results will be achieved.

Clients acknowledge that successful marketing is a collaborative process and that campaign performance depends on timely approvals, accurate information, implementation of recommendations, adequate advertising budgets, website readiness, competitive positioning, and ongoing optimization. Delays in providing content, approvals, access credentials, or other required resources may affect campaign performance and delivery timelines.

Where Evomad provides estimates, projections, forecasts, performance benchmarks, traffic estimates, lead projections, or return-on-investment calculations, such information is provided solely for planning and informational purposes. These estimates are based on available data and reasonable assumptions and should not be interpreted as guarantees, promises, warranties, or contractual commitments.

Nothing in this section shall be construed as limiting Evomad’s obligation to perform the agreed services with reasonable skill, care, diligence, and professionalism. We remain committed to delivering the services outlined in the applicable proposal, quotation, statement of work, service agreement, or subscription plan, using recognized industry standards, ethical practices, and commercially reasonable efforts to help clients achieve their business and marketing objectives.

Chargebacks

At Evomad, we are committed to resolving billing concerns fairly, professionally, and in a timely manner. If you have any questions regarding an invoice, payment, refund, subscription, project milestone, or any charge related to our services, we request that you contact us first so that we have an opportunity to investigate and resolve the matter before any payment dispute or chargeback is initiated through your bank, credit card issuer, payment gateway, or financial institution.

Clients agree to make reasonable efforts to communicate with Evomad regarding any disputed transaction and provide all relevant information necessary for us to review the issue. We will make commercially reasonable efforts to respond promptly and work toward an appropriate resolution in accordance with these Payment Terms and any applicable service agreement.

A chargeback should only be initiated where there is a genuine case of unauthorized or fraudulent payment, or where otherwise permitted under applicable law. Chargebacks submitted after services have been delivered, project work has commenced, digital assets have been provided, or where payments were made in accordance with an agreed quotation, proposal, contract, or subscription may be considered invalid or unjustified.

If a client initiates a chargeback without first attempting to resolve the issue with Evomad, or if a chargeback is determined to be fraudulent, abusive, or without reasonable justification, Evomad reserves the right, to the fullest extent permitted by applicable law, to take one or more of the following actions:

  • Immediately suspend all ongoing services, campaigns, subscriptions, and project work.
  • Disable or revoke access to client portals, reports, dashboards, websites, applications, digital assets, or other deliverables that have not yet been fully transferred or paid for.
  • Withhold delivery of pending work, source files, documentation, credentials, licenses, or final project deliverables until all outstanding payment disputes have been resolved.
  • Recover any outstanding invoices, chargeback fees, collection costs, legal expenses, interest, or other amounts permitted under applicable law.
  • Engage legal counsel or debt recovery agencies to recover unpaid amounts where necessary.
  • Terminate any existing agreements, subscriptions, retainers, or future business engagements with the client.
  • Decline future service requests or proposals from clients who have engaged in repeated or fraudulent chargeback activity.

Evomad reserves the right to submit supporting documentation to the relevant payment processor, financial institution, or card issuer to contest an invalid chargeback. Such documentation may include approved quotations, signed agreements, invoices, payment confirmations, email communications, project timelines, work logs, delivery records, revision history, usage records, or any other evidence demonstrating that the services were properly authorized and performed.

Nothing in this section limits Evomad’s legal rights or remedies available under applicable law, nor does it affect a client’s statutory consumer rights where such rights cannot legally be excluded or limited.

Force Majeure

Evomad shall not be held liable for any delay, interruption, failure to perform, or inability to fulfill its obligations under these Payment Terms or any related service agreement where such delay or failure is caused by events or circumstances beyond our reasonable control (“Force Majeure Event”).

Force Majeure Events include, but are not limited to:

  • Natural disasters such as floods, earthquakes, cyclones, storms, lightning, droughts, pandemics, epidemics, fires, or other acts of nature.
  • War, armed conflict, terrorism, civil unrest, riots, strikes, lockouts, labor shortages, industrial disputes, or public emergencies.
  • Government actions, changes in laws or regulations, court orders, sanctions, export restrictions, mandatory shutdowns, or actions by regulatory authorities.
  • Failures or disruptions involving internet service providers, telecommunications networks, electricity or utility services, cloud infrastructure, hosting providers, domain registrars, data centers, payment gateways, banking systems, or other essential third-party infrastructure.
  • Cybersecurity incidents, including cyberattacks, ransomware attacks, distributed denial-of-service (DDoS) attacks, hacking attempts, malware infections, data breaches caused by third parties, or other malicious digital activities beyond Evomad’s reasonable control.
  • Technical failures involving software platforms, advertising platforms, artificial intelligence tools, APIs, third-party integrations, social media platforms, search engines, marketplace platforms, or other external services relied upon for delivering our services.
  • Transportation disruptions, supply chain interruptions, shortages of essential resources, or any other unforeseen event beyond the reasonable control of Evomad.

During the occurrence of a Force Majeure Event, Evomad’s obligations shall be suspended only to the extent affected by the event and for the duration reasonably necessary to overcome its effects. We will make commercially reasonable efforts to minimize delays, resume services as soon as practicable, and keep affected clients informed where appropriate.

Force Majeure Events shall not constitute a breach of contract by Evomad and shall not give rise to any claim for damages, penalties, compensation, service credits, or refunds arising solely from delays or interruptions caused by such events.

Where a Force Majeure Event continues for an extended period and materially affects the performance of ongoing gig-based, project-based, or monthly subscription services, Evomad reserves the right to reasonably revise project timelines, reschedule deliverables, temporarily suspend services, or terminate the affected engagement upon written notice, subject to any applicable contractual obligations.

Nothing in this clause limits either party’s obligation to pay any outstanding invoices or amounts that became due prior to the occurrence of the Force Majeure Event, unless otherwise required by applicable law or agreed in writing by both parties.

Changes to This Policy

Evomad reserves the right to modify, amend, update, or replace these Payment Terms & Refund Policy at any time, at its sole discretion, to reflect changes in our business practices, service offerings, pricing models, legal obligations, industry standards, or operational requirements.
